No DExit: Corporate Incorporations in Delaware Found to Have Increased Markedly During 2025

Delaware’s prominence for business incorporation increased in 2025, with the year ending as one of the state’s all-time best for incorporations. According to a post by the Harvard Law School Forum on Corporate Governance, “Delaware experienced a sharp increase in corporate incorporations in 2025, both absolutely and relative to other states.”

In fact, approximately 30% more Delaware corporations formed in 2025 than had in 2024 – even while incorporation levels remained flat nationally – and the weekly average number of new corporations increased by 309. This means nearly 1,400 corporations chose Delaware as their legal home each week of 2025.
According to the Delaware Department of State’s most recent annual report, 2.1 million legal entities and 66.7% of all Fortune 500 Companies are incorporated in Delaware and 81.4% of U.S.-based Initial Public Offerings have chosen Delaware as their corporate home.
